These Terms & Conditions (“Terms”) govern your access to and use of Salesio, a product of Tsubaki Systems LLC (“Salesio,” “we,” “us,” or “our”) — the website at salesio.app, the Salesio platform and all of its features, and any booking, store, contact page, or widget operated by a Salesio customer (“the Service”). By using the Service, creating an account, booking an appointment through a Salesio Calendar page, or connecting a social media account, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- Customer: a business or individual that creates a Salesio account to use our tools.
- Visitor: an end user who interacts with a page or widget built or hosted by Salesio on a Customer's behalf.
- Content: text, images, video, and other materials uploaded, created, generated, or submitted through the Service, including content published to connected social accounts.
- Connected Account: an Instagram, Facebook, or TikTok account a Customer links to Salesio via that platform's OAuth.
- AI Content: content drafted or suggested by automated/AI features.
2. The Service
Salesio provides tools to small businesses including: an AI website builder and hosting, an AI chatbot, lead capture and contact forms, an online store, appointment booking, an embeddable chat/contact widget, first-party analytics, email and SMS/WhatsApp notifications, voice insights, translation, a referral and affiliate program, and a social-media engine that publishes content and manages public comments on Connected Accounts. We may add, change, or remove features at any time. We do not guarantee the Service will be uninterrupted or error-free, or that any marketing, content, or campaign will achieve any particular result.
3. Salesio Calendar SMS messaging program
The Salesio Calendarmessaging program delivers transactional SMS related to appointments you have booked through a Customer's Salesio Calendar page. Messages are strictly transactional and are never used for marketing.
Program details
- Program name: Salesio Calendar Booking Reminders.
- Description: appointment confirmation messages, 24-hour and 1-hour reminders, and cancellation / reschedule notifications tied to appointments you book on a Salesio Calendar page.
- Message frequency: up to four SMS per booking — one confirmation, one reminder 24 hours before, one reminder 1 hour before, and one cancellation or reschedule notice when applicable. Frequency depends on your bookings.
- Message and data rates may apply. Standard messaging rates from your carrier apply to every message sent or received.
- Carriers are not liable for delayed or undelivered messages.
Opt-in
You opt in to SMS only by checking the explicit consent checkbox on a Salesio Calendar booking form when you provide a phone number. The checkbox copy reads verbatim:
“I agree to receive SMS reminders for this appointment. Message frequency may vary. Message and data rates may apply. Reply STOP to unsubscribe, HELP for help.”
Without that checkbox checked, we do not store your phone number for messaging and no SMS is sent. Consent is logged with a timestamp for compliance audit.
Opt-out (HELP and STOP)
Reply STOP to any SMS to unsubscribe immediately and permanently. After replying STOP, you will receive one final confirmation that you have been unsubscribed and will not receive further SMS.
Reply HELP to any SMS to receive help and contact information. You can also email support@salesio.app for assistance at any time.
Supported carriers
The program is compatible with all major U.S. carriers including AT&T, T-Mobile, Verizon, and U.S. Cellular. Messages are sent only to U.S. mobile numbers.
4. Eligibility and accounts
- You must be at least 13 years old (or 16 in the EEA/UK) to use the Service.
- You are responsible for the accuracy of your account information and for keeping your credentials confidential.
- You are responsible for all activity that occurs under your account.
- Notify us promptly at support@salesio.app of any unauthorized use.
5. Subscriptions, billing, and refunds
Paid plans and add-ons are billed in advance on a recurring basis via Stripe. You authorize us to charge your payment method for all applicable fees. You may cancel at any time; cancellation takes effect at the end of the current billing period and fees already paid are non-refundable except where required by law. Failed or overdue payment may result in suspension. Booking deposits and store orders collected by Customers are refunded according to the policy each Customer sets.
6. Acceptable use
You agree not to, and not to allow others to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Send spam, unsolicited marketing, or messages without proper consent.
- Publish content to social platforms that is misleading, infringing, or that violates the rules of Instagram, Facebook, TikTok, or any platform; or generate fake engagement.
- Harass, abuse, or harm another person, or impersonate others.
- Upload malware, or attempt to disrupt, probe, or bypass the security or technical limits of the Service.
- Infringe the intellectual property or privacy rights of others.
- Use the Service to violate TCPA, CAN-SPAM, carrier rules, platform developer policies, or other applicable communications laws.
We may investigate and suspend or terminate accounts that violate these Terms, and may remove content or pause publishing if a platform or law requires it.
7. AI-generated content
Some features draft or suggest content automatically (site copy, chatbot replies, social posts, translations, voice summaries). AI Content is a starting point: it may contain errors or inaccuracies, and you are responsible for reviewing it before it is published or sent. In assisted mode you approve content before it goes out; in any automated (“autopilot”) mode you authorize Salesio to publish on a schedule on your behalf and remain responsible for the result. You own the AI Content you publish and are responsible for ensuring it is accurate, lawful, and does not infringe others' rights.
8. Social media features (Connected Accounts)
When you connect an Instagram, Facebook, or TikTok account, you authorize Salesio to act within the permissions you grant — to publish the content you approve (or that you schedule in autopilot mode) and to read and respond to publiccomments and mentions on your own content. Your use of these features is also subject to each platform's terms and developer policies, and you must have the right to publish the content you submit. We do not access private direct messages. We do not guarantee reach, impressions, engagement, or sales from any post or campaign, and platforms may rate-limit, reject, or remove content outside our control. You may disconnect an account at any time, which revokes our access.
9. Online store
For Customers who sell through the store, you are the seller and merchant of record. You are responsible for your products, pricing, fulfillment, customer service, and any taxes. Payments settle to your own connected Stripe account under Stripe's terms; Salesio charges the applicable platform fee disclosed at checkout setup.
10. Customer content and intellectual property
You retain ownership of the Content you submit or generate. You grant Salesio a worldwide, non-exclusive license to host, store, process, display, and — where you direct us — publish that Content to your Connected Accounts, solely to operate and improve the Service. You represent that you have the rights to the Content you submit and that it does not violate any law or third-party right.
Salesio and its software, design, and trademarks remain the property of Tsubaki Systems LLC. These Terms do not grant you any right to our branding except as needed to use the Service.
11. Referral and affiliate program
We may offer referral credits and a cash affiliate program. Rewards (e.g., account credit or a cash bounty per qualifying referral) are subject to the program rules in effect at the time, including qualification, holding periods, minimum payout thresholds, and clawback on refund, chargeback, fraud, or cancellation. We may change or end these programs at any time. Abuse (self-referral, fake accounts) voids rewards.
12. Third-party services
The Service relies on third-party providers (including Stripe, Twilio, Resend, OpenAI, Meta/Facebook, TikTok, Render, Vercel, our cPanel/WHM hosting provider, and Neon). Your use of the Service may also be subject to those providers' terms and policies. We are not responsible for third-party services we do not control.
13. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content, campaign, or marketing effort will produce any particular outcome.
14. Limitation of liability
To the maximum extent permitted by law, Salesio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim is capped at the amount you paid us in the twelve months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Salesio and Tsubaki Systems LLC and their officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Content, your use of the Service, content you publish to Connected Accounts, or your violation of these Terms or applicable law.
16. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or create risk or legal exposure for us. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 13–15 and 17) will survive.
17. Governing law and dispute resolution
These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute informally by contacting support@salesio.app. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Maryland, unless applicable law grants you the right to bring a claim elsewhere.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced on this page with a new “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance.
19. Miscellaneous
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Salesio regarding the Service.
- Severability: if any provision is found unenforceable, the rest remains in effect.
- No waiver: our failure to enforce a provision is not a waiver of it.
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
20. Privacy
Our handling of personal data is described in our Privacy Policy and Data Deletion instructions, which are incorporated into these Terms by reference.
